John Brandow is a member of Davis Polk & Wardwell's corporate department and heads the firm's equity derivatives group, which includes over 35 securities and tax lawyers. Mr Brandow has been actively involved in the design of exchangeable securities containing imbedded options or forward contracts on the underlying equities, the development of mandatory and optional convertible securities that are issued in tax or accounting-driven capital- raising transactions, and the structuring of public and private hedging transactions using collars and variable prepaid forward contracts. Mr Brandow joined Davis Polk & Wardwell in 1981 and became a partner in 1989. Mr Brandow earned bachelor's degrees from Yale University (1975) and Oxford University (1977), and received his JD from the University of Pennsylvania Law School (1980).
